Our capital markets team has extensive experience representing issuers and underwriters in domestic and international securities offerings. We provide transactional services as well as specific advice relating to a broad range of legal and regulatory issues in connection with the issuance of securities or subsequent trading in secondary markets. As a key player in the Swiss market, we are regularly retained by leading investment banks and Swiss public companies to advise them on IPOs, rights issues, convertible bonds, hybrid instruments and other securities transactions.
Our team covers a wide range of industries, with a particular focus on health care, banking, insurance and high technology.
Our team represents and advises issuers and investment banks in the following areas:
- Structuring and transaction advice to issuers and investment banks
- Drafting of contractual and disclosure documentation in connection with offerings
- Adding the Swiss finish to existing international issuance programs preliminary to listing on the SWX Swiss Exchange
- Advising on regulatory compliance in connection with offerings
